Alan Pralgever
Alan Pralgever: A business litigator in New Jersey and New York
I have handled a wide variety of complex commercial and corporate litigation in state and federal courts, as well as arbitrations. My practice concentrates in several areas include corporate, partnership, small company, and medical practice dissolutions, Estate litigation, Matrimonial, personal injury, contruction, and corporate and business disputes. I have long been involved in construction law and related areas, about which I have written and lectured extensively, representing owners, general contractors, and public institutions such as school boards. I also handle defense of employment discrimination matters, intellectual property-restrictive covenant, and corporate lending disputes.
I frequently appear in arbitration matters, and in the past was appointed to the panel of arbitrators before the American Arbitration Association for commercial and construction matters. I am an accredited Mediator in New Jersey.
I also won Balsamides vs. Perle,160 NJ 352(1999)-the leading New Jersey Supreme Court oppressed shareholder(corporate and partnership split up ) and valuation case in New Jersey and several other states. The case deals with the use of "marketability" and "minority" discounts. The IRS has even used it as a standard. I represented Metem v.Chen I successfully tried a case to recover intellectual property and buy out a minority for three and a half months in Morris County Superior Court.
I also won Barry v. Arrow Pontiac, which is a Consumer Fraud Act case which keeps dealers from advertising that that they are selling for "cost" when they collect holdback allowances given the number of cars they sell from the manufacturers making the real profit on the cars they sell significantly higher.
